Mandatory Online Filing of Registration and Renewal of True Names and Elimination of Notice of Delinquency Beginning December 1, 2009

Effective December 1, 2009, the following documents must be filed online:

  • Statement of Registration of True Name
  • Statement of Renewal of Registration of True Name

If a document listed above is submitted on paper and received on or after December 1, 2009, it will be rejected. A document submitted on paper will be processed only if it is received in the Secretary of State’s Office on or before November 30, 2009. For example, a document submitted by mail with a postmark of November 27, 2009, that is received on December 1, 2009, will be rejected.

Computers are available in our office to file documents. However, these computers cannot be used to file a document if an attachment is required, and the computers are not equipped to save documents. Online filings with the Secretary of State's Office are processed through a secure server. For additional information regarding filing online, click here.

Other Changes

The Secretary of State’s Office will no longer send a postcard notice when a business organization has become delinquent. However, the Secretary of State’s Office will continue to send a notice when an annual report is due, when grounds for delinquency exist, and when renewals of trade names and trademarks are due.

Also, newly formed cooperatives and cooperative associations will have a perpetual term of duration, unless otherwise stated in the articles of incorporation.
