Mandatory Online Filing of Statements of Conversion and Constituent Filed Documents Beginning July 21, 2008

Effective July 21, 2008, the following documents must be filed online:
  • Statement of Conversion
  • Combined Statement of Conversion and Constituent Filed Document
  • The following Constituent Filed Documents:
    • Articles of Organization for a Limited Liability Company
    • Articles of Incorporation for a Profit Corporation
    • Articles of Incorporation for a Nonprofit Corporation
    • Articles of Association (LPA)
    • Articles of Incorporation for a 55 cooperative
    • Articles of Incorporation for a 56 cooperative
    • Certificate of Limited Partnership
    • Combined Certificate of Limited Partnership and Statement of Registration
    • Statement of Registration for a General Partnership

If any of the above documents is submitted on paper and is received on or after August 1, 2008, it will be rejected. Any such document submitted on paper will be processed only if actually received in the Secretary of State’s Office on or before July 31, 2008. For example, a document submitted by mail with a postmark of July 31, 2008, that is received August 1, 2008, will be rejected.

For your convenience, computer terminals are available in our office that may be used to file documents. However, for security purposes, these computer terminals cannot be used if an attachment is to be included with an online filing. These computers are not equipped to permit the saving of documents on the computer as files may be corrupt or contain viruses without the user’s knowledge. Articles of Incorporation for a Nonprofit Corporation, a 55 cooperative or a 56 cooperative require the filing to contain an attachment and, as a result, may not be filed using the office’s computers.
